These Terms of Service ("Terms") govern your use of Klugify's IT consulting services, business automation solutions, website (klugify.com), and any related products including our AI Receptionist offering. By using our services or submitting an inquiry, you agree to these Terms.

Klugify provides IT consulting, automation, security, cloud infrastructure, and managed IT support services to small businesses and startups. Specific services delivered are defined in a written scope of work agreed upon before work begins. Our services include but are not limited to:

2. Scope of Work and Pricing

All project work is scoped and priced before work begins. We will not start work without a clear, agreed scope and price in writing. If the scope changes during a project, we will discuss and agree on any price adjustment before proceeding. We do not bill for work outside the agreed scope without prior approval.

Upon full payment for a project, all code, infrastructure configurations, accounts, and credentials created or configured on your behalf become your property. We do not retain ownership of work we deliver. We do not build technical dependencies that require you to continue working with us.

For one-time projects, payment terms are specified in the project agreement (typically 50% upfront, 50% on completion for projects over $500). For monthly retainer arrangements, payment is due at the start of each billing period. We reserve the right to pause work if payment is more than 14 days overdue.

If you are a caller interacting with a business that uses Klugify's AI Receptionist product, the following terms apply to SMS communications:

We treat all client business information, systems access, and data as confidential. We will not disclose client information to third parties except as required to deliver the agreed services or as required by law. We expect the same in return — any tools, processes, or proprietary methods we share during an engagement should not be disclosed to our competitors.

8. AI-Generated Content Disclaimer

Where our services involve AI tools (including call transcription, summaries, or automation), AI-generated output may contain errors. We strive for accuracy but are not liable for decisions made based on AI-generated content. Business owners are responsible for verifying important customer information directly.

9. Limitation of Liability

To the maximum extent permitted by law, Klugify's total liability for any claim arising from our services is limited to the amount paid by you for the specific service that gave rise to the claim in the 3 months prior to the incident. We are not liable for indirect, incidental, or consequential damages including loss of revenue or business opportunity.

10. No Long-Term Lock-In

Monthly retainer agreements may be cancelled with 30 days written notice. We do not impose cancellation fees or minimum contract terms beyond the initial project agreement. If you leave, we will provide a clean handover of all assets, credentials, and documentation.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Mecklenburg County, North Carolina.

12. Changes to Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised "Last updated" date. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
